    Yamada Holdings Co., Ltd. - Acquisition of Otsuka Kagu, Ltd.

Leading Japanese law firm Nishimura & Asahi advised Yamada Holdings Co., Ltd. [TSE: 9831], a major Japanese consumer electronics and services provider, on its acquisition of Otsuka Kagu, Ltd., a Japanese furniture retailer, through a share exchange.

杉本 健太郎

Kentaro has been involved in a significant number of capital market transactions including Euro bond offerings, global bond offerings, IPOs, follow-on offerings and convertible bonds offerings, conducted by both Japanese issuers and foreign issuers, as the issuer’s counsel or underwriter’s counsel. In addition, he advises on compliance with Japanese disclosure and reporting requirements.

松永 徳宏

Tokuhiro Matsunaga has handled a wide variety of cross-border M&A transactions in Asia and other regions. Recently, he has been focusing on the expansion of N&A’s Thai legal practice, and provides hands-on support to both Japanese and international clients that invest or are located in Thailand. He advises clients from both corporate/M&A and competition law perspectives, and has prevailed in a broad range of complicated cases, such as M&A transactions that involve serious antitrust issues. In addition, he has extensive experience with competition law investigations by the Japanese Fair Trade Commission, as well as investigations by other competition authorities in more than 15 countries. He also advises on other legal practice areas, including corporate governance, shareholders’ meetings, countermeasures against hostile takeovers and shareholder activism, compliance enhancement, internal investigations, and whistleblowing cases. He is adept at precisely understanding clients’ needs, and works carefully and efficiently to achieve the optimal outcomes for his clients.

After earning his LL.M. at Vanderbilt University Law School in the U.S., he worked as a secondee at a NY office of a leading Japanese bank and the Tokyo office of an international investment bank. Upon returning to N&A, he developed an extensive track record in a broad range of finance matters, including financial regulations, capital markets (especially REIT), ship finance, M&A in the financial sector, compliance, and communication with financial authorities. He is one of the main members of our FinTech practice team and has extensive experience with respect to FinTech-related matters, and has advised a wide variety of clients, ranging from traditional financial institutions to start-ups. He also has particular expertise in regard to the payment space. In addition, he advises clients on financial regulations in M&A transactions involving financial institutions, and has experience in a broad range of cross-border matters, including inbound and outbound transactions.

Yosuke Kitayama has extensive experience supporting our clients in a number of both domestic and cross-border M&A transactions, including acquisition or business integration of listed companies and leveraged buyout (LBO) by private equity funds and joint ventures. He has also engaged in other corporate matters, such as shareholders’ meetings and corporate disputes. His strength is his ability to provide scrupulous analyses and advice based on his abundant legal knowledge and experience in M&A transactions and other corporate matters. He focuses on facing issues with our clients and providing them with legal services in a timely and detailed manner in order to achieve their goal.
