    Hitachi Transport System, Ltd. - Tender offer by Kohlberg Kravis Roberts

Leading Japanese law firm Nishimura & Asahi advised Hitachi Transport System, Ltd. [TSE: 9086], a Japanese third-party logistics business, on a tender offer for its common shares by HTSK Co., Ltd., an entity owned by the investment funds managed by KKR & Co. Inc. (NYSE: KKR).

志賀 裕二

Yuji’s practice includes a wide range of M&A, investment, and joint venture transaction, etc. involving a Japanese company and a foreign company / investment fund; in that transaction, he represented both parties through successful completion of the transaction. With his seasoned experience of acquisition matters by foreign investment funds, he advises numerous Japanese listed and unlisted companies on activism matters. He has received accolades from his clients that (i) he is very pragmatic and proactive (ii) he always gives a good, commercial view of the bigger picture around a situation with deep understanding of his client and (iii) he has an ability to ‘put himself in his clients’ shoes. 谷澤 進

After earning his LL.M. at Vanderbilt University Law School in the U.S., he worked as a secondee at a NY office of a leading Japanese bank and the Tokyo office of an international investment bank. Upon returning to N&A, he developed an extensive track record in a broad range of finance matters, including financial regulations, capital markets (especially REIT), ship finance, M&A in the financial sector, compliance, and communication with financial authorities. He is one of the main members of our FinTech practice team and has extensive experience with respect to FinTech-related matters, and has advised a wide variety of clients, ranging from traditional financial institutions to start-ups. He also has particular expertise in regard to the payment space. In addition, he advises clients on financial regulations in M&A transactions involving financial institutions, and has experience in a broad range of cross-border matters, including inbound and outbound transactions.

鈴木 多恵子

Taeko heads the firm’s India practice, and advises Japanese corporations investing and doing business in India, with a special focus on dispute resolution (litigation and arbitration), and regulatory work (criminal and competition related matters). She also handles jurisdictions such as Sri Lanka, Pakistan, the UAE, Bangladesh, Nepal, Maldives, and other countries in South Asia, the Middle East and Africa.

In M&A transactions, Tsukasa has been involved in a nubmber of transactions, including management integration of large companies, going-private transactions, business carve-outs transactions, and establishment of joint ventures. In recent years, he has especially focused on tender offer transactions, including management buy-outs, and business succession of owner-operated companies. He is strong in efficient and steady execution of transactions based on his extensive experience and is committed to providing flexible solutions that are tailored to the client's situation. In the area of general corporate matters, he handles a wide range of cases, including corporate governance, drafting and review of various contracts, and corporate disputes. He has a deep understanding and extensive experiences of the manufacturing and retail sectors, as well as finance, automotive/auto parts, logistics, and food and beverage.

Takashi's practice covers various types of M&A transactions, including both cross-border deals and domestic deals. Based on his extensive knowledge and insight into cross-border transactions, he is able to take the lead in negotiations. He also draws upon his experience of being seconded to an energy company and an IT company as in-house counsel, providing practical legal solutions that take into account real world business operations. In addition, Takashi has expertise in competition law practice, including merger filings for domestic and cross-border deals. He is able to provide one-stop legal services for those engaging in such business transactions.
