各項公平交易相關法規

企業合併、聯合行為/圍標、私的獨占、不公平交易行為、平台規範等,基於豐富經驗對於公平交易法各個方面提供支援。

在全球加強公平交易法的規範和運用當中,關於圍標/聯合行為,本所自課徴金減免制度實施以來即累積了許多實績,在處理跨國聯合行為時,則與海外的權威事務所合作,支援日本國內外企業應對日本、歐美、新興國家各部門主管機關的調查。關於企業合併方面,本所在以公平交易法審查為主要爭議點的併購案件擁有豐富經驗,基於對各行各業的深刻理解,針對後續的主管機關審查,提供策略性建議。本所不僅參與多起日本主要企業的合併案件,也精通國際性的企業結合審查,包括與國外權威事務所合作以應對國外主管機關調查,曾支援過許多大規模整併案件。此外,在企業商業模式直接受到威脅的私的獨占或濫用優越地位等不公平交易方式的單獨行為領域,本所也擁有與主管機關交涉和處理糾紛訴訟的豐富實績,對於近來備受關注的平台規範,不僅執行,更提供包括規範/應用之監控/提議等的法律建議。除此之外,本所也積極從事下列業務:當海外企業的行為有違反公平交易法之虞時,進行多方面的探討並提供對策建議、處理有關電力零售市場自由化等的制度改革、實施公平交易法法令遵循調查及派遣人員擔任各公司內部培訓之講師。

  • Kozo Kawai has long been called upon for his sector-leading knowledge of non-contentious and contentious antitrust issues, including those relating to M&A transactions, cartels and unilateral behaviour. "Mr Kawai is the doyen of the competition Bar, with an incredible amount of knowledge and experience in the field. He is a true force to be reckoned with whom you want to have on your side," says one client. Madoka Shimada has a strong track record advising on merger filings and antitrust-related issues. One client reports: "She is a very diligent lawyer. She's across all aspects of competition law and handles domestic and international merger control mandates." A further source says: "Ms Shimada is a very knowledgeable, hands-on competition lawyer who can turn around matters which others have given up on."

  • Kozo Kawai leads the competition team at NISHIMURA & ASAHI, which includes five other partners, two counsel and 45 associates. The firm is working on an active docket of behavioural matters in industries such as construction and pharmaceuticals, although details of this work are confidential. On the merger side, the team advised NAVER on the integration of its subsidiary LINE with Z Holdings, which is Japan’s largest-ever IT company merger. The group also advised leasing company MUL on its merger with Hitachi Capital Corporation, which was cleared by the JFTC in less than four months without remedies. As well as handling the Japanese portion of the deal, Nishimura & Asahi also acted as lead counsel coordinating merger filings in the US, the EU, Turkey and Indonesia. In another successful global effort, the team advised Honda on its plans to merge several auto parts companies into one aggregated supplier with Hitachi. The firm secured clearance for that deal without conditions in Japan and multiple other countries across Asia, Europe and Latin America. Additionally, the firm helped KKR and Rakuten obtain Phase I clearance without remedies for their acquisition of shares in Japanese supermarket group Seiyu from Walmart.
