    Nippon Life Insurance Co. – Acquisition of Resolution Life Group Holdings Ltd. and Business Integration of Resolution Life Australasia Ltd. and MLC Ltd.

Nishimura & Asahi advised Nippon Life Insurance Co. on its acquisition of Resolution Life Group Holdings Ltd., making it a wholly-owned subsidiary. We also advised on its acquisition of additional shares in MLC Ltd., a consolidated subsidiary of Nippon Life, and on the business integration of MLC and Resolution Life Australasia Ltd., a subsidiary of Resolution Life Group Holdings.

谷川 達也

Tatsuya Tanigawa is a partner at Nishimura & Asahi, and has represented Japanese and non-Japanese buyers and sellers in numerous cross-border transactions in various industries, including stock and asset acquisitions, private equity and venture capital investments, joint ventures, and strategic alliances. He has handled both inbound and outbound transactions, including many public company transactions. He is committed to finding solutions for his clients in any transaction.

中山 達也

Tatsuya Nakayama is a partner in our M&A and corporate practice and was previously seconded to a top-tier U.S. international law firm. He has represented Japanese and non-Japanese buyers and sellers in numerous domestic and cross-border M&A and other commercial transactions, including financial institutions M&A, strategic alliances, private equity, equity finance, startups and venture capital investments. He also has considerable expertise in strategy planning at all stages from early stage to PMI and advises on a broad range of legal issues in the field of general corporate matters, including corporate governance, and banking and insurance. Leveraging such significant expertise and experience, he provides attentive expert advice in an effective, practical and timely manner. He also has experience serving as an outside officer for private companies and as a lecturer at a prestigious university and law school in Japan.

忍田 卓也

Having commenced his career advising clients on the disposal of non-performing loans and on private equity investments after the collapse of the bubble economy, he has been providing corporate clients with a wide range of legal support, including advising on domestic and cross border M&A and commercial transactions, such as joint venture agreements, license agreements, etc. He also covers other areas, such as crisis management and corporate litigation. Taking advantage of his extensive experience in advising clients on a wide range of legal issues and his previous secondment to a life insurance company, he is actively engaged in the area of insurance, especially in providing regulatory advice, advice on investments by insurance companies (including M&A), and advice on reinsurance, etc. Furthermore, he also focuses on energy and natural resources, offering his expertise on various issues related to the stable supply of energy, which is fundamental to society and the economy.

山中 政人

Masato Yamanaka joined Nishimura & Asahi in April 2008 after working for Mitsui, Yasuda, Wani & Maeda, Linklaters and Miyakezaka Sogo Law Office. After being seconded to Norton Rose Hong Kong, he started working for Nishimura & Asahi (Singapore) LLP in 2012. Since then, he has supported numerous clients with their M&A transactions, finance, and general corporate matters in the ASEAN region, especially in Singapore, Malaysia and Indonesia. He has significant expertise in public M&As in Singapore, Malaysia and Indonesia.

中原 千繪

Chié Nakahara specializes in international litigation and arbitration. The disputes she typically handles relate to M&A, distributorship, licensing, franchising, and the termination of such continuous contracts, construction, product liability, corporate governance, intellectual property, finance and other commercial matters. She has acted in a large number of complex and high profile litigations and arbitrations. She serves as a panel of arbitrators at Korean Commercial Arbitration Board International, Singapore International Arbitration Centre, and also as a registered arbitrator at the Daiichi Tokyo Bar Arbitration Center.

辰巳 郁

Kaoru TATSUMI

浦野 祐介

Yusuke URANO

Based in New York, Yusuke has advised on numerous M&A transactions, such as domestic/cross-border acquisitions and alliances, TOB transactions, going private/MBO transactions, joint venture transactions, venture capital investments, and group reorganizations, with a focus on Japan-U.S. cross-border M&A transactions. He has also handled various cross border cartel cases for domestic and foreign clients. He also regularly provides U.S. and global clients doing business in Japan with corporate governance, compliance, risk management, labor, intellectual property, and other general corporate advice.

小林 和真呂

Kazumaro’s antitrust practice spans various industries, including automotive, energy, telecommunication, medical/healthcare and finance. Kazumaro regularly represents clients in high-profile matters, including merger and acquisitions that require approval in multiple jurisdictions, and global and domestic cartel investigations.

芝 章浩

Akihiro Shiba represents a wide range of clients, including numerous financial institutions and FinTech firms, within and outside Japan, in connection with licensing, compliance and other regulatory matters (such as those related to banking, securities, derivatives, and payments regulations, FDI restrictions, and AML/CFT/CPF requirements), and domestic and cross-border financial transactions (including those related to structured finance and asset management). Since 2014, his practice has focused on various FinTech matters, including those involving various digital tokens (such as cryptocurrencies, securities tokens, stablecoins, and NFTs), online platform-based financial transactions (like social lending and other crowdfunding), and online remittance and payment services (such as mobile payments). He has written numerous books and articles, and given many seminars and lectures, on subjects relevant to his practice areas.

飯尾 誠太郎

Using the experience gained from being seconded to an asset management company, he has a broad range of experience in the field of real estate transactions and real estate finance, and his strength lies in his ability to provide advice in the areas of property transactions and property finance, where lawyers are not normally involved in practical correspondence, and to offer flexible solutions tailored to the client’s needs. In addition to the real estate field, he has knowledge in a wide variety of finance fields such as renewable energy projects, large-scale investment projects using Limited Partnerships, and new businesses utilizing leasing transactions. He also has extensive experience in insurance transactions and insurance regulation.

吉川 悟

Satoru has been engaged in M&A transactions, business alliance/collaboration deals including cross-border transactions since 2010. Also, Satoru was seconded to a legal department and a new business office of listed companies in Japan for 4 years in total, and he dealt with many transactions, such as investment and business alliance/collaboration from the sourcing of the transactions through to the negotiation of the agreement, implementation of the necessary procedures and PMI, and assessing the alliance effect after the closing. Based on this experience, Satoru provides multifaceted legal advice in a timely and flexible manner in accordance with the size and nature of the individual transaction.
