    Kohlberg Kravis Roberts : Sale of Seiyu Co., Ltd.’s Business in Hokkaido and Kyushu

Nishimura & Asahi advised Kohlberg Kravis Roberts (“KKR”), a global investment firm, on the sale of supermarket chain Seiyu Co., Ltd.’s Hokkaido and Kyushu business to Aeon Hokkaido Co., Ltd. [TSE: 7512] and Izumi Co., Ltd [TSE: 8273], respectively.

Asa Shinkawa has been a partner in the M&A/corporate group at Nishimura & Asahi since 2001. Ms. Shinkawa has advised on mergers and acquisitions, tender offers, cross border transactions, domestic acquisitions and divestitures and going private transactions, restructurings and spin offs, joint ventures, and numerous other kinds of transactions and commercial arrangements. Ms. Shinkawa has been recognized as one of the world's leading lawyers in the field of Corporate/Mergers and Acquisitions in Chambers Global - The World's Leading Lawyers for Business, since 2009, and is ranked as one of the top practitioners in Japan in the field of Corporate/M&A. She was engaged in the reform of the electricity system in Japan, as an expert member of governmental committees under the Electricity and Gas Market Surveillance Commission  and various committees of the Advisory committees for Natural resourse and Energy of the METI from 2015 to 2021.

伊達 隆彦

Takahiko handles a wide range of domestic and international M&A transactions, general corporate matters, and labor matters. In particular, he has extensive experience in private equity fund investments, cross-border transactions (mainly in Europe and the U.S.), as well as TMT and pharmaceutical industry-related M&A transactions. Regardless of the difficulty or complexity of a case, his policy is to respond in a flexible, appropriate, and timely manner in accordance with his clients’ needs and expectations. He is also actively involved in D&I activities and pro bono work.

掘越 秀郎

Hideo’s practice includes a broad mix of acquisition finance, project finance, cross-border syndicated lending, equity investment, and other innovative financing products. Hideo also has strong expertise in banking and frequently advises financial institutions, inter alia, on matters including debt restructuring and banking regulations. Leveraging his significant experience in investment-banking matters, he regularly advices financial institutions, major companies and governmental agencies on various corporate matters.

鶴岡 勇誠

Takenobu Tsuruoka is a Partner in Nishimura & Asahi's acquisition finance group. Takenobu has extensive experience in the debt finance area, with a particular focus on acquisition financing, sustainable financing, project financing and securitization. He has a wealth of experience representing global private equity funds in high-profile deals, and he has been active in advising Japanese financial institutions as lenders or arrangers on leveraged financing, project financing and securitization. He gives due consideration to the market practice when providing legal advice.

飯永 大地

Daichi handles a broad range of corporate legal matters, particularly in the area of domestic/cross-border M&A transactions, including acquisitions and sales by private equity funds, business integration transactions and other M&A transactions involving publicly listed companies, and joint venture transactions.

In recent years, he has been actively involved in numerous matters covering compensation and benefits, including implementing post-acquisition incentive schemes and introducing equity compensation plans for publicly listed companies. He also has extensive expertise in tax-related matters, including handling tax disputes.
