Nippon Denkai, Ltd. - Sale of Business to MUFG Strategic Investment, Ltd.
Nishimura & Asahi advised Nippon Denkai, Ltd. on the transfer of its electrodeposited copper foils business to MUFG Strategic Investment, Ltd., a subsidiary of MUFG Bank, in civil rehabilitation proceedings.

He has been engaged in a multitude of corporate restructuring cases from the perspectives of debtors, creditors, and sponsors, and as such, has extensive experience in in-court and out-of-court proceedings. He has also been involved in medium-to large-scale M&A transactions and corporate-related disputes (such as claims for damages, defamation, determination of share price, and clawbacks under Bankruptcy Act cases). Accordingly, he can provide the clients with support and advice from a wide range of perspectives.
In addition, he has experience and knowledge in how Japanese companies invest (such as the acquisition of local companies), and conduct their business in Thailand, as well as cross-border restructuring cases.
Kazuki has engaged in various restructuring cases, ranging from out-of-court workouts to judicial bankruptcy proceedings, covering small companies to large listed corporations, across a wide range of industries such as manufacturing, healthcare, IT, entertainment, and energy.
He has also handled a lot of cross-border restructuring cases, representing both debtors and creditors. In addition, he has managed a variety of legal disputes and litigation, including cases covering debt collection, director accountability, and labor issues.
Furthermore, Kazuki spent about two years seconded to a governmental investment fund, where he was involved in projects such as the integration of major companies in the industry, carve-outs from large corporations, and investments in overseas infrastructure projects. His role provided him with a principal’s perspective, giving him extensive knowledge and experience in M&A transactions.
Leveraging the agile, flexible problem-solving and negotiation skills he has cultivated in restructuring cases, combined with the diverse perspectives he has gained through his secondment and studies in the United States, Kazuki helps clients find solutions to the most pressing issues they face.
Yasuo has an extensive track record, including many restructuring and bankruptcy cases representing a variety of stakeholders, such as debtors, sponsors and creditors. He also has special expertise in M&A, dispute and risk management cases. In addition, he is involved in PPP/ infrastructure cases and renewable energy cases.
