Nishimura & Asahi advised Endeavour United Co., Ltd. on an investment in CLAN Co., Ltd., a comprehensive welfare service provider, made through one of Endeavour United’s investment funds.
The investment was executed jointly with multiple investment business limited partnerships managed and operated by other firms.

He has been engaged in a multitude of corporate restructuring cases from the perspectives of debtors, creditors, and sponsors, and as such, has extensive experience in in-court and out-of-court proceedings. He has also been involved in medium-to large-scale M&A transactions and corporate-related disputes (such as claims for damages, defamation, determination of share price, and clawbacks under Bankruptcy Act cases). Accordingly, he can provide the clients with support and advice from a wide range of perspectives.
In addition, he has experience and knowledge in how Japanese companies invest (such as the acquisition of local companies), and conduct their business in Thailand, as well as cross-border restructuring cases.

He joined Nishimura & Asahi in 2000 and has been a partner with the firm since 2009. His work is primarily in the field of finance. He represents lender and borrower side clients in a broad range of public and private financing transactions, with a special emphasis on acquisition finance. In this field he is recognized as a renowned practitioner with a high level of expertise and has advised on a large number of transactions such as LBO/MBO transactions involving both listed and unlisted companies, as well as on mezzanine financing transactions. He also has wide ranging experience in the area of structured finance, where he has been involved in numerous securitization transactions of a wide variety of assets including monetary claims, real estate and distressed assets. Furthermore, with his experience seconded to a merchant banking subsidiary of an investment banking firm, his expertise also extends to the areas of private equity and principal investment.

She mainly practices in insolvency and restructuring, as well as M&A and a wide range of general corporate matters. She has extensive experience in both cross-border (especially, the United States, Europe and Asia) and domestic cases. She has had a distinguished career advising a variety of clients such as debtors, creditors, sponsors, parent companies, and subsidiaries with regard to complex cross-border M&A cases and restructuring cases (including cases where Japanese companies were involved in US Chapter 11 cases). Even in complex or unprecedented cases, she has sought to achieve client objectives by establishing a creative structure or coordinating complex interests between parties. She has also advised clients concerning company dissolutions or liquidations, and dissolving cross-border JV businesses.


Yasuo has an extensive track record, including many restructuring and bankruptcy cases representing a variety of stakeholders, such as debtors, sponsors and creditors. He also has special expertise in M&A, dispute and risk management cases. In addition, he is involved in PPP/ infrastructure cases and renewable energy cases.
