    Right-on Co., Ltd. - Third-party Share Allotment to Development Bank of Japan Inc. and WORLD Co., Ltd. Joint Fund

Nishimura & Asahi advised Right-on Co., Ltd. [TSE: 7445] in connection with a third-party allotment of shares to a joint fund established by Development Bank of Japan Inc. and WORLD Co., Ltd. [TSE: 3612]. We also advised on a tender offer for Right-on shares conducted by the fund.

The team was led by Tokyo partners Gaku Suzuki, Kazumaro Kobayashi, Yonson Minami, Sanshiro Kubota, Tomonori Maezawa, and Takahiro Kato.

鈴木 学

He has represented 37 debtor companies in civil rehabilitation cases and 10 debtor companies in business turnaround ADR, which is a sort of publicly recognized scheme of Japan. He also handles a wide range of business restructuring and bankruptcy cases, on behalf of debtors for restructuring at early or later stages. He has considerable expertise in, and has handled many restructuring cases belonging to the medical/healthcare sector for many years. He has also been involved in numerous hospital and pharmacy M&A transactions.

小林 和真呂

Kazumaro’s antitrust practice spans various industries, including automotive, energy, telecommunication, medical/healthcare and finance. Kazumaro regularly represents clients in high-profile matters, including merger and acquisitions that require approval in multiple jurisdictions, and global and domestic cartel investigations.

南 勇成

He has handled a number of insolvency and restructuring cases, ranging from small-and medium-sized companies to listed enterprises. In recent years, through coordinating with financial institutions, he has provided expert legal advice on a number of early-stage restructuring cases in relation to corporate M&A and financing. In addition to M&A cases involving funds and companies, he also handles civil and commercial disputes between or within corporations, and provides advice on venture financing and developing legal areas (including agriculture & food and healthcare fields) to start-up enterprises. He is adept at identifying the needs of his clients and providing them with comprehensive legal advice.

窪田 三四郎

Sanshiro primarily handles corporate legal affairs, with a focus on domestic and international M&A, general corporate, and business restructuring matters.
In addition to general M&A cases, he has extensive experience in M&A cases for the purpose of business revitalization and succession (e.g., sale of unprofitable businesses, withdrawal from business, sponsorship, acquisition of successors, etc.). His support is broad, covering issues from general corporate to litigation, international arbitration, and misconduct arising in business operations after M&A transactions. He has also worked on a variety of matters on the client side while on secondment to a manufacturer. In addition, he spent two years stationed in Europe, where he majored in EU law including GDPR and EU consumer law at LL.M. program. He is also known for his detailed and logical seminars.

前澤 友規

Tomonori has been involved in numerous deals, including business integrations of listed companies, acquisition of listed companies, forming joint ventures, and capital and business alliances. Leveraging his experience of being seconded to a major automobile manufacturer, he also focuses on M&A involving automotive parts suppliers, forming joint ventures with battery manufacturers, and venture investment in new areas such as autonomous driving. He also handles competition law compliance, focusing on merger filings, and provides one-stop advice tailored to the client's situation.

加藤 貴裕

Takahiro has been engaged in a wide variety of restructuring cases from out-of-court workouts to judicial bankruptcy proceedings. He has also handled disputes and litigations in relation to both bankruptcy cases and general corporate matters. In each case, his focus is on leading clients in the right direction and ultimately securing optimal solutions for them.

With two years of experience as a secondee to the credit division of one of Japan’s largest banks, he understands how creditors think and act when borrowers face insolvency situations.

He also spent three years in the U.S., attending law school for a year and working as a trainee at a U.S. law firm handling both litigation and M&A cases for two years. Utilizing this experience, he has advised clients in international M&A and other transactions.
