Nishimura & Asahi advised Toho Zinc Co., Ltd. , a company engaged in the zinc and lead smelting and refining business, on its issuing of new shares through a third-party allotment to Advantage Partners, Inc. and Tatsumi Shokai Co., Ltd.

Hajime has extensive expertise in the area of corporate restructuring and insolvency, as well as securitization/structured finance practice (including concession transactions); especially known for his uncanny skills to see through complex issues and the web of differing interests of relevant parties, he is not confined to conventional thinking and instead strives to devise various new deal structures and provide new solutions. He also has an extensive practice in other areas of corporate finance and capital markets, as well as regulatory matters of financial institutions (including Basel accord capital rules). Having spent his youth in the U.S. and having studied abroad, he is fluent in both English and Japanese. He serves as the Firm’s CTO and is engaged in IT/DX-related matters, as well.

He has been engaged in a multitude of corporate restructuring cases from the perspectives of debtors, creditors, and sponsors, and as such, has extensive experience in in-court and out-of-court proceedings. He has also been involved in medium-to large-scale M&A transactions and corporate-related disputes (such as claims for damages, defamation, determination of share price, and clawbacks under Bankruptcy Act cases). Accordingly, he can provide the clients with support and advice from a wide range of perspectives.
 In addition, he has experience and knowledge in how Japanese companies invest (such as the acquisition of local companies), and conduct their business in Thailand, as well as cross-border restructuring cases.

窪田 三四郎

Sanshiro primarily handles corporate legal affairs, with a focus on domestic and international M&A, general corporate, and business restructuring matters.
In addition to general M&A cases, he has extensive experience in M&A cases for the purpose of business revitalization and succession (e.g., sale of unprofitable businesses, withdrawal from business, sponsorship, acquisition of successors, etc.). His support is broad, covering issues from general corporate to litigation, international arbitration, and misconduct arising in business operations after M&A transactions. He has also worked on a variety of matters on the client side while on secondment to a manufacturer. In addition, he spent two years stationed in Europe, where he majored in EU law including GDPR and EU consumer law at LL.M. program. He is also known for his detailed and logical seminars.
