    Toho Global Inc: Acquisition of Anime Limited and Strategic Alliance with PLAION PICTURES GmbH

Nishimura & Asahi advised Toho Global Inc [TSE:9602] on its acquisition of Anime Limited from PLAION PICTURES GmbH, making Anime Limited a subsidiary of Toho Global’s European regional headquarters. We also advised Toho Global on a strategic alliance to become preferred partners in Europe with PLAION PICTURES.

The team was led by Tokyo partners Yuji Shiga, Hudson Hamilton, Takahiro Sugauchi, and Takanori Ueshima with support from associates Koya Hatano and Haruki Sugiyama.

志賀 裕二

Yuji’s practice includes a wide range of M&A, investment, and joint venture transaction, etc. involving a Japanese company and a foreign company / investment fund; in that transaction, he represented both parties through successful completion of the transaction. With his seasoned experience of acquisition matters by foreign investment funds, he advises numerous Japanese listed and unlisted companies on activism matters. He has received accolades from his clients that (i) he is very pragmatic and proactive (ii) he always gives a good, commercial view of the bigger picture around a situation with deep understanding of his client and (iii) he has an ability to ‘put himself in his clients’ shoes. He is also active in the Firm’s Asia practice such as India, China, Taiwan, Singapore, Indonesia and Vietnam.

Hudson regularly advises Japanese and non-Japanese clients in large, complex cross-border transactions, including stock acquisitions, asset acquisitions, private equity and venture capital investments, intellectual property agreements, joint ventures and strategic alliances. Clients value his communication skills, both in Japanese and English, and his dedication to producing successful outcomes.

須河内 隆裕

Takahiro provides comprehensive legal advice on intellectual property transactions, primarily assisting Japanese and international clients in the entertainment, media, telecommunications, and IT industries. With deep copyright law expertise and practical experience in the entertainment sector, he offers unique perspectives to his clients. Takahiro’s previous roles at a global record label and the U.S. subsidiary of a major Japanese film studio have equipped him with a nuanced understanding of the entertainment business and its legal complexities. His practice covers a broad spectrum of services, such as advising on digital distribution licenses, joint production agreements, option agreements, artist agreements, and chain-of-title investigations. He is also adept at navigating issues that arise at the intersection of intellectual property rights and emerging technologies. Additionally, Takahiro has experience in resolving disputes related to intellectual property and information law.

上嶋 孝法

Takanori has been involved in a variety of domestic/cross-border M&A transactions, joint ventures, capital and business alliance transactions, corporate reorganizations, private equity deals, and startup transactions. His areas of specialization include a wide range of corporate matters, including corporate governance, shareholders’ meetings, and compliance. He has particularly extensive experience advising on cross-border/regional M&A transactions, both inbound and outbound, including those involving Europe, the U.S. and Asia, for which he draws on his experience working and studying in the U.K. He is familiar with the latest corporate and M&A practices under English law, and handles transactions in a flexible, timely manner tailored to meet clients’ precise needs and expectations; he also draws on his deep understanding of business, and the experience gained through his secondment to a Japanese listed company, during which he dealt with legal matters stemming from the client’s business operations.
