Nishimura & Asahi advised Logisteed, Ltd., a logistics company, on its acquisition and privatization via recommended tender offer of Alps Logistics Co., Ltd. [TSE: 9055], an affiliate of Alps Alpine Co., Ltd. [TSE: 6770], which makes electronic components.

志賀 裕二

Yuji’s practice includes a wide range of M&A, investment, and joint venture transaction, etc. involving a Japanese company and a foreign company / investment fund; in that transaction, he represented both parties through successful completion of the transaction. With his seasoned experience of acquisition matters by foreign investment funds, he advises numerous Japanese listed and unlisted companies on activism matters. He has received accolades from his clients that (i) he is very pragmatic and proactive (ii) he always gives a good, commercial view of the bigger picture around a situation with deep understanding of his client and (iii) he has an ability to ‘put himself in his clients’ shoes. He is also active in the Firm’s Asia practice such as India, China, Taiwan, Singapore, Indonesia and Vietnam.

田原 吏

In M&A transactions, Tsukasa has been involved in a nubmber of transactions, including management integration of large companies, going-private transactions, business carve-outs transactions, and establishment of joint ventures. In recent years, he has especially focused on tender offer transactions, including management buy-outs, and business succession of owner-operated companies. He is strong in efficient and steady execution of transactions based on his extensive experience and is committed to providing flexible solutions that are tailored to the client's situation. In the area of general corporate matters, he handles a wide range of cases, including corporate governance, drafting and review of various contracts, and corporate disputes. He has a deep understanding and extensive experiences of the manufacturing and retail sectors, as well as finance, automotive/auto parts, logistics, and food and beverage.

田中 伸拡

Nobu Tanaka is a partner in our Antitrust and International Trade practice team dealing with merger control, cartel/bid rigging, monopoly, unfair trade practice and dispute related cases. Nobu has much experience in dealing with cross-border merger control, international cartels and cross-border litigation cases. Through his 3 years experience in the U.S., Nobu has a deep understanding of the legal, business and cultural difference between Japan and other countries and he has expertise in explaining Japanese laws in a plain manner. Nobu always tries to understand clients’ interest and clients’ businesses deeply so that he can provide better and flexible solution. Nobu has good reputation in deep understanding of industries and business. In addition to antitrust cases, Nobu also handles various non-antitrust matters, such as cross-border commercial litigation, internal investigation, white-collar matters and cross-borer corporate transaction and general corporate matters including advice relating to new business in Japan. He also has a good reputation in timely and efficient communication. Nobu has LL.M degree at Stanford Law School (2017) and J.D. degree at University of Tokyo School of Law (magna cum laude). Nobu is fluent in English.

神谷 圭佑

Keisuke is a counsel in our corporate team. He handles many domestic and international M&A transactions, business alliances, and business successions. He also has a wealth of experience of handling general corporate issues arising in the course of daily business, including IP-related matters and labor issues. He provides our clients with flexible legal advice and support according to the transaction size and company type.
