    Japan Petroleum Exploration Co., Ltd. - Acquisition of Part of Working Interest in Gebang Block in Indonesia Through Share Acquisition in EMP Gebang Limited

Nishimura & Asahi advised Japan Petroleum Exploration Co., Ltd. in connection with its acquisition of 50% of the shares in EMP Gebang Limited (EMPG), a subsidiary of Energi Mega Persada Tbk (EMP), which holds 100% of the working interest in the Gebang Block in Indonesia.

The team was led by Tokyo and Singapore partners Takuya Oshida, Adrian Joyce, Natalie Yap, and Kiyoshi Sugimoto, together with Masanori Kaneko, Luky I. Walalangi and Hans A. Kurniawan from Walalangi & Partners.

忍田 卓也

Having commenced his career advising clients on the disposal of non-performing loans and on private equity investments after the collapse of the bubble economy, he has been providing corporate clients with a wide range of legal support, including advising on domestic and cross border M&A and commercial transactions, such as joint venture agreements, license agreements, etc. He also covers other areas, such as crisis management and corporate litigation. Taking advantage of his extensive experience in advising clients on a wide range of legal issues and his previous secondment to a life insurance company, he is actively engaged in the area of insurance, especially in providing regulatory advice, advice on investments by insurance companies (including M&A), and advice on reinsurance, etc. Furthermore, he also focuses on energy and natural resources, offering his expertise on various issues related to the stable supply of energy, which is fundamental to society and the economy.

Adrian has considerable experience advising lenders, sponsors and ECAs on energy, transportation and infrastructure in, Japan, APAC, the Americas, Europe, Middle East and Africa. He is recognised as a market leader for project finance and asset finance and regularly advises Japanese and international clients on the development and financing of cross-border energy, infrastructure and transportation projects. Highly regarded for his commercial acumen, Adrian is recognised in Chambers Global and Chambers APAC for “Projects & Energy: International” and “Banking & Finance: International Asset Finance” and in The Legal 500 for "Projects and Finance”, “Shipping” and “Banking and Finance” for which he is ranked as a “Leading Individual”. Recent experience includes advising sponsors and lenders on: • LNG: a large number of LNG vessel financings (20 vessels since 2020), SPAs and joint ventures; • Infrastructure: projects including five subsea cable financings in APAC and the Americas and two infrastructure projects in Japan; • Renewables: greenfield projects and project sales in Japan and APAC including solar, wind and waste to energy. • Asset finance: debt finance, restructurings, SLB, ESG and JOLCOs in the shipping and aviation sectors. Natalie YAP

Prior to joining Nishimura & Asahi in 2017, Natalie worked in London and in Singapore and has acted as counsel in more than 50 arbitration, mediation, and adjudication matters extending across a large range of industries, including shipping, engineering, onshore and offshore construction, aviation, oil and gas, international trade, asset finance, telecommunications, motor racing and automotive distribution. Aside from acting in contentious proceedings, Natalie regularly advises on dispute prevention and risk management. In 2015, Natalie was named Asia Women in Business Law’s “Rising Star for Litigation”. She is ranked in the 2021,2022 and 2023 editions of Who’s Who Legal (Arbitration).She is also ranked in the 2021 and 2022 editions of the Legal 500 (for Real Estate and Construction). Natalie is a contributing author to Singapore International Arbitration: Law and Practice (2nd ed., 2018 , edited by David Joseph, QC and David Foxton, QC).

Kiyoshi has extensive experience in both domestic and international M&A transactions. His work includes advising on equity investments in listed companies, take‑private transactions, joint venture formations, private equity matters, multi‑jurisdictional cross‑border deals, strategic support for auction processes, supporting post-merger integration, M&A‑related litigation, and a wide range of other M&A‑related legal issues. Leveraging five years of sales experience at a trading house (sogo-shosha), he provides practical and commercially attuned legal advice that bridges business objectives and legal considerations.
Following his studies in the United States and subsequent tenure at the firm’s New York office, he has been involved in numerous U.S.-related M&A matters and is well positioned to address clients’ legal needs in the U.S. market. In addition, he has accumulated a total of five years of on‑the‑ground experience in Indonesia, enabling him to support clients across all phases of market entry, business expansion, and exit in and from Indonesia. He is also fluent in the Indonesian language, allowing him to assist in matters requiring communication in the local language.

Masanori handles a wide-range of corporate law matters, such as M&A, responses to shareholder activists, organizational restructuring, corporate governance, disputes, crisis management, and general corporate (including labor matters). With respect to M&A transactions, he is engaged in both domestic and overseas projects, covering a range of organizations including listed and unlisted companies, and investment funds. He is a skilled communicator and dedicated to ensuring that his clients are kept well-informed and receive practical and effective advice.
