Leading Japanese law firm Nishimura & Asahi advised BentallGreenOak, a global real estate investment firm, on its capital and business alliance with The Royal Hotel, Ltd. [TSE: 9713], a Japan-based hotel chain operator, and on its acquisition of the landmark RIHGA Royal Hotel Osaka.
The Nishimura & Asahi team advising BentallGreenOak was led by partners Yoshinobu Fujimoto, Yuji Shiga, Koki Hara, Tsukasa Tahara and Akihisa Yamamoto.
Yuji’s practice includes a wide range of M&A, investment, and joint venture transaction, etc. involving a Japanese company and a foreign company / investment fund; in that transaction, he represented both parties through successful completion of the transaction. With his seasoned experience of acquisition matters by foreign investment funds, he advises numerous Japanese listed and unlisted companies on activism matters. He has received accolades from his clients that (i) he is very pragmatic and proactive (ii) he always gives a good, commercial view of the bigger picture around a situation with deep understanding of his client and (iii) he has an ability to ‘put himself in his clients’ shoes. Koki is a seasoned expert on a wide range of real-estate transactions (including securitization of real estate) with diversified clients, such as banks, developers, and asset management companies. His coverage includes cross-border real-estate finance, project finance and other finance transactions. Also, he is specialized in REIT, and financial regulatory matters including banking, and asset management.
In M&A transactions, Tsukasa has been involved in a nubmber of transactions, including management integration of large companies, going-private transactions, business carve-outs transactions, and establishment of joint ventures. In recent years, he has especially focused on tender offer transactions, including management buy-outs, and business succession of owner-operated companies. He is strong in efficient and steady execution of transactions based on his extensive experience and is committed to providing flexible solutions that are tailored to the client's situation. In the area of general corporate matters, he handles a wide range of cases, including corporate governance, drafting and review of various contracts, and corporate disputes. He has a deep understanding and extensive experiences of the manufacturing and retail sectors, as well as finance, automotive/auto parts, logistics, and food and beverage.
Akihisa is a partner in our M&A team. He handles many domestic and international M&As, business alliances including JVs, business succession, equity finance, and hostile takeovers. He has abundant practical experience for both listed and unlisted companies and wide range of company sizes and transaction types, knowledge of cutting-edge practical trends and laws and regulations, and the ability to respond flexibly and hands-on.
In addition, he active in start-up finance support, IPO support, and daily legal support.
Recently, using the network and knowledge cultivated through studying abroad in Europe and the United States, he also deals with sustainability-related topics such as sustainable finance, including ESG investment and impact investment, social enterprise, B Corp certification, and social IPO.
Yoshinobu was promoted to partner in 1999. He has experience in NP loans, real estate transactions, and equity investment cases dealing with foreign capital funds and companies. In addition to domestic M&A and business integration cases, he has recently been engaged in many M&A and JV cases by Japanese corporations in the USA, Europe, and Asian countries. He has advised Japanese corporations on lawsuits in the USA and other overseas countries, and has extensive experience in the dispute settlement and risk management fields. He has won many awards in the Corporate/M&A, Private Wealth and Healthcare fields from business law reviews, such as Chambers Global and The Legal 500 Asia-Pacific.
