    Nojima APAC Ltd. - Acquisition of Thunder Match Technology Sdn. Bhd. of Malaysia

Leading Japanese law firm Nishimura & Asahi advised Nojima APAC Ltd., a Japan-based electronic appliances retailer and subsidiary of Nojima Corporation [TSE: 7419], on its acquisition from Endless Momentum Sdn. Bhd. of all shares in its subsidiary Thunder Match Technology Sdn. Bhd., a Malaysia-based retailer of computer and electronic appliances, making Thunder Match Technology Sdn. Bhd. a subsidiary of Nojima APAC.

He is also known for his expertise in business succession cases involving a wide range of competing interests, such as drafting family charters, and handling litigation, leveraging his insights into industry conditions and economic circumstances surrounding his clients.

Kenya engages in general corporate legal matters with a focus on domestic and international M&A and restructuring transactions. In addition to general M&A transactions, he has extensive experience in M&A transactions involving business restructuring (e.g., sale of unprofitable businesses, divestitures, and sponsorship deals). He was seconded to and trained at Mitsui & Co., Ltd. (Tokyo, Japan, 2009-2010), Sullivan & Cromwell LLP (New York, USA, 2011-2012), and Pinheiro Neto Advogados (São Paulo, Brazil, 2012-2013), and since then, he has used his experience to advise clients on cross-border matters from a multifaceted and strategic perspective, in order to ensure efficient and effective execution in each case, according to his client’s needs.

Masato Yamanaka joined Nishimura & Asahi in April 2008 after working for Mitsui, Yasuda, Wani & Maeda, Linklaters and Miyakezaka Sogo Law Office. After being seconded to Norton Rose Hong Kong, he started working for Nishimura & Asahi (Singapore) LLP in 2012. Since then, he has supported numerous clients with their M&A transactions, finance, and general corporate matters in the ASEAN region, especially in Singapore, Malaysia and Indonesia. He has significant expertise in public M&As in Singapore, Malaysia and Indonesia.

Kotaro has engaged in many restructuring cases through not only formal insolvency proceedings but also out-of-court workouts. From 2019 to 2023, he provided legal advice on cross-border M&A, restructuring/insolvency, disputes, and other corporate matters (with a focus on those related to Singapore, Indonesia, Malaysia, and Philippines) from our Singapore Office by leveraging the knowledge and experience in local legal and commercial practices and the connection with local professionals.
